Process

From first call to closing.

A direct conversation with the people who decide, a clear view of what comes next, and no surprises at the end.

01The steps

One form, a clear answer.

Decisions are made by a small internal investment committee that meets weekly. We need no outside approvals and no fundraising to close.

  1. 01

    Submit

Send the company through our form, with the ownership structure and what the owners want from a transaction. Share a link to non-confidential materials (teaser, deck or data room); we sign NDAs promptly when there is mutual interest.

  2. 02

    Initial review

Our private equity team reviews the business against our published criteria and focus areas.

  3. 03

    Feedback

We aim to give initial feedback within 72 hours of receiving a complete package.

  4. 04

    NDA and management meeting

If there is mutual interest, we sign an NDA promptly, request the CIM and meet the founders and management, ideally at the business.

  5. 05

    Letter of intent

Our investment committee, which meets weekly, approves the terms we propose. When we sign a letter of intent, we intend to close on those terms.

  6. 06

    Diligence and closing

Confirmatory due diligence, focused on what matters for the business, and closing on our own capital with no financing condition and no fundraising to close.

02Intermediaries

For bankers, brokers and advisors.

We value business brokers, investment bankers and M&A advisors as extensions of our team, and we aim to be the buyer you can recommend to a client with confidence.

Broker protection. We respect buy-side mandates and standard fee agreements on introduced transactions.

Materials and NDAs. Share a link to non-confidential materials (teaser, deck or data room); we sign NDAs promptly when there is mutual interest.

Straight answers. If a company is not a fit, we say so quickly and explain why, so you can move on with your process.

03Questions

Common questions.

Short answers from our published criteria.

What size of company do you invest in?

Companies with EBITDA of $2M–$15M and positive cash flow, on revenue of $10M–$100M, with a gross margin above 25% and an EBITDA margin above 10%.

Do you take minority stakes?

Yes. We invest through control or significant minority stakes, and take board representation in a minority position.

Which kinds of transaction do you do?

Family successions, management buyouts, corporate carve-outs, and recapitalizations.

Where are the companies you invest in?

In North America: the United States and Canada.

How long do you hold a business?

Our capital is permanent and free from fixed fund lives, so no timetable forces us to sell. We can hold a great business for decades and manage hold periods and exits deliberately.

Who makes the decision, and how quickly?

Decisions are made by a small internal investment committee that meets weekly. We need no outside approvals and no fundraising to close. We aim to give initial feedback within 72 hours of receiving a complete package.

I am a founder. Can I keep a stake and stay involved?

Yes. We offer flexible structures that let founders take chips off the table while retaining equity upside, and stay involved in the role they choose. We protect the culture and employees that made the company successful.

Do you rely on debt to finance acquisitions?

We create value through operations, not financial engineering, and we do not rely on leverage to make a business work. We invest our own capital and keep leverage moderate.

I am a banker or broker. How do you treat intermediaries?

We value business brokers, investment bankers and M&A advisors as extensions of our team, and we respect buy-side mandates and standard fee agreements on introduced transactions. Share a link to non-confidential materials (teaser, deck or data room); we sign NDAs promptly when there is mutual interest.

Do you invest in early-stage companies?

Not through private equity, which invests in established, cash-flowing businesses. Early-stage companies are the remit of Caldrion Ventures, at ventures.caldrion.com.
